Job Description:

A national network operator that physically builds and maintains its own infrastructure in South Africa and some African countries is in the market for an Admitted Attorney.

You will be working directly with the CEO, so being logical minded, meticulous, and possessing a ‘go-getter’ attitude is non-negotiable.

Position details:

Job description / core competencies:

  • Working in a high-performance corporate servicing a group of companies.
  • Drafting contracts and corporate documents.
  • Drafting of sales, merger, and acquisitions documents, etc.
  • Drafting of memorandums of incorporations and shareholder agreements.
  • Assist with pre-legal processes (Drafting of acknowledgements of debts, reviewing payment proposals, customer negotiations).
  • ICASA compliance officer, assisting with mandatory returns to ICASA.
  • Attending to international trade and distributor agreements.
  • Risk assessment, contract analysis and review.
  • Responsible for drafting and amending trust deeds.
  • Attending to CIPC annual returns, amendments of company profiles and loading new companies.
  • Drafting and revision of offers to purchase properties.
  • Attend to Legal sectary work, minutes of exco meetings and providing resolutions, preparation, and amendments of share certificates, keeping a registrar of shareholders.
  • Conducting due diligences and drafting due diligence reports.
  • Researching and preparing opinions on corporate, commercial, and regulatory matters.
  • Participating in marketing and business development efforts and contributing to building and functioning of the team.
  • Assisting in general practice management.

Job Qualification & Experience:

  • An admitted attorney.
  • At least 5 years post- qualification experience in corporate and commercial legal practices.
  • Knowledge of the Companies Act essential.
  • Commissioner of oaths would be ideal.
  • You will be working directly with the CEO, so being logical minded, meticulous, and possessing a ‘go-getter’ attitude is non-negotiable.
  • Strong drafting skills.
  • Ability to work hard, under pressure and on several matters at the same time.
  • Team player but must be able to work independently.
  • Accurate execution of work with attention to detail.
  • Willingness to learn.
  • Problem solving, initiative, pro-activity and sound decision making.
  • Strong knowledge and understanding of applicable laws.
  • Ability to perform in a fast-paced, deadline driven, pressurised environment.
  • Excellent verbal and written communication skills.
  • Possess excellent analytical, problem solving and negotiation skills.
  • Possess the ability to learn and educate yourself, not relying on others to give you the answers.
  • Be able to treat sensitive matters with the highest levels of confidentiality – being an ethical and honest person this should be easy for you.
  • Capable of and enjoy training and up-skilling fellow colleagues as per departmental requirements, and also be eager for development and growth yourself – not a problem for a hard-working, career orientated person such as yourself.

  • Have a valid driver’s license and own transport.
